1. Services

Exalix Tech provides ERPNext implementation, customization, consulting, support, training, resource hiring, and related technology services. All services are delivered based on mutually agreed scope, timelines, and commercial terms.

2. Engagement & Communication

Any communication via forms, email, phone, or meetings does not constitute a binding agreement unless formally documented through proposals, contracts, or purchase orders.

3. Client Responsibilities

• Provide accurate and complete business information
• Ensure timely availability of data, approvals, and stakeholders
• Comply with agreed timelines and payment terms
• Maintain appropriate backups of business-critical data

4. Payments & Commercial Terms

All fees, payment milestones, and billing terms are defined in individual proposals or agreements. Delays in payment may result in suspension of services until dues are cleared.

5. Intellectual Property

Unless explicitly stated otherwise, Exalix Tech retains ownership of all proprietary methodologies, frameworks, code libraries, and documentation developed during service delivery. Client-specific deliverables are governed by the agreed contract.

6. Data & Confidentiality

All client data accessed during ERPNext implementation or support is treated as confidential. Exalix Tech does not claim ownership of client business data and uses it solely for service delivery.

7. Limitation of Liability

Exalix Tech shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities arising from the use of our services or website.

8. Third-Party Software & Services

Our services may involve third-party platforms such as ERPNext, Frappe Framework, hosting providers, or integrations. Exalix Tech is not responsible for limitations, changes, or failures originating from third-party software or services.

9. Termination

Either party may terminate an engagement as per the terms defined in the applicable agreement. Obligations related to confidentiality, payments, and intellectual property survive termination.

10. Governing Law

These Terms & Conditions are governed by the laws of India. Any disputes shall be subject to the jurisdiction of courts in Ahmedabad, Gujarat.

11. Updates to Terms

Exalix Tech reserves the right to update these Terms & Conditions at any time. Continued use of the website or services constitutes acceptance of the revised terms.
